SPDIF Audio Problem....

Hopefully someone can help me with this one. I just hooked up a 9800 GTX+ into my PC rig. Well I hooked up my SPDIF out from mobo to the 9800 GTX and have HDMI running to TV at 720p. I got video and audio and everything is fine. The problem is when I decided to overclock my 6850 3.0GHZ to 3.6. I got no audio anymore on TV.

I unclocked the CPU and audio was back again. This happens with anything over 3 GHZ(which is my CPU stock clock.) I thought maybe this had to do with the onboard realtek HD audio and overclocking CPU. So, I bought a SB X-FI PCI. Hooked this up to another video card, 8800GT with HDMI. I also tried another HDMI cable but still nothing.

What can I do to get SPDIF to work while I am OCing CPU?
