Graphics cards barely saturate an 8x PCI-E lane, so don't let that be a limiting factor.

Unless you really need the bells and whistles of the Deluxe, the first one should be fine.

One last thing since the 940 is Am2+ and the 955 is AM3 would i be able to run DDR3 1600 ram in either motherboard since their both am3 compatible.
 
I was using an M4A78 Pro MoBo for a while and I really didn't care for it.. You'll need an AM3 chip to run the AM3 RAM.. The ram controller is built into the chip.

here's two more options for ya.. I am running a similar board to this first one and I LOVE it! It was out performed, in testing, by the second board that is an AM3 socket, though.

Neither of the motherboards you linked support DDR3 memory. Both motherboards will support both the 940 and 955 CPUs as far as I know, but you're required to use DDR2 memory with them.
