memtest reboots PC

OK, my system seems stable enough, will do prime95 just fine..., but I figured I would download memtest and let it run a while just to be sure....

I didn't have a floppy hooked up to the machine, so I created a boot CD using the ISO image on their site.
When I restarted, told it to boot from CD... it said LOADING.....
saw a blue background from memtest, then the computer suddenly restarted itself.
I tried again 3 more times, same result.
I tried putting CPU back at default speeds, same thing.
installed a floppy, went to windows, created a memtest boot disk.. restart computer, SAME problem, just takes longer to boot off the floppy.

As soon as memtest starts, my computer reboots.
Anyone have any idea what would cause this?
I am using the newest version they have on their site... 3.1

Other than this, the system has no stability problems, temps are pretty low thanks to the watercooler, and prime95 will run just fine with no errors.

I had been going to www.memtest86.com and downloading... in which 3.1 is the newest... I went to www.memtest.org, and saw this...

I will download that when I get home and see how it goes ;)
