is my Mini ITX GA-H55N-USB3 dead?

Hi, I just received my brand new GA-H55N-USB3 mini itx motherboard today, the lights, Fans, etc start for a second them stop,

This is what I checked:

any Bends Contacts in the CPU, Clear CMOS. Tried a different PSU, I tried with and without Memory and is the same.

I did some tests with my other Gigabytes motherboards. Like: Running without memory or Video and they start and keep running so I guess would be the same with this one,

My guess the problem is the Motherboard? any ideas?

Try setting it up outside of the case. Also make sure your HSF is mounted correctly.
 
Hook a speaker up to the mobo speaker pins and take the memory out.
If you don't get POST beeps indicating a memory failure, something else is dead.
