has anyone seen this thing?

im a complete newb when it comes to overclocking(my friend overclocked the comp in my sig) and i was wondering if this thing is any good for assisting in overclocking

Tom's == NO.

That device is only needed for pre-Thoroughbred / Barton Athlons or on motherboards with little or no overclocking controlls.

Your system has no use for such a device.

Pointless gizmo now anyway.....New XPs already ship with the multipliers unlocked..maybe usefull for a older pali or KT266 board but you can just buy a new Tbed-b or barton and be done with it.

I don't care for the fact it makes the CPU sit a bit higher in the ZIF socket..Cracking/chipping the die is more of a danger it seems.
