If you do an actual upgrade, you will get fat 32 because of the provision to return to W98SE. After XP is installed you can convert to ntfs. From my own experiences it is easier to do a clean install of XP than an upgrade.

BUT, if i purchase the upgrade version, can I do a clean install

Yes you can, I do it all the time. All you need is a Win98 disc to prove that you own another windows version. When you go to install XP it will ask you to put in the 98 or whatever disc then it will have you put the XP disc back in. Thats all there is too it.

I could be be wrong but, I believe you will need to access the BIOS and set the system to boot from CD-ROM in order to do clean install from WindowsXP upgrade disk. I have done it a hundreds of times that way and never have had a problem. Don't forget your Windows98 disk.
