Need help with an upgrade from 2.0ghz Celeron

I have been out of the loop for quite some time and need some advice on hardware I have been looking at for a low budget PC to use as an HTPC (gave away current systems mobo and CPU)

Currently it is a 2.0 ghz Celeron on a Soyo SY-P4I865PE Plus Dragon 2 with 2 x 512 mb PC 3200 DDR and gforce6800 XT (AGP)

Should I maybe spend a bit more in any area? What would you recommend.

I would like to keep the cost down as much as possible but if it will make a large difference I could spend a bit more
