They're going to perform nearly the same. One is a quad core at a slightly higher clock, one is an hexacore at a slightly lower clock.

OEM means it doesn't come with a stock cooler, chip only. They're both new.

965 is a fine choice as well.

better out of the box = which ever one is the fastest out of the box.

1045t 2700Mhz

955 Black Edition 3200 MHz
