is there realli any difference in terms of OC-ing peformance between the

CORSAIR TWINX 3200XL (2x512) 1GB (black heatsink)

and the

CORSAIR XMS PC3200XL 512MB (silver heat sink)
 
all chips are different, can not say for sure

but sometimes a single stick of ram overclocks better then 2 , but there is also dual channel which will liekly give you more of a performance gain with the banwidth over the possible loss of O/C with 2 sticks.
 
If RAM is the same brand, same model and rated for the same speeds and timings then performance should be the same, apart from usual minor variations between different batches of chips.

Although, as mentioned, having two sticks of RAM will, in many systems, let you use the Dual Channel memory access feature which can access two sticks of RAM at the same time, increasing (in theory) memory bandwidth.
