AMD Athlon 4000+, for $139:

My budget for this is $300 after tax and shipping.

The motherboard must have an 8x AGP slot, and a PCI slot. A LAN adapter is also required.

These components will replace an Abit NF7-S v2.0, and a Barton 2500+ running at stock.

I'm not willing to replace my video card in favor of getting a more recent motherboard.
 
You wont get AGP on AM2, so that looks great to me. although you might be able to get a Dual Core processor for only 20$ more.

I have the ASRock motherboard and it is truly an excellent board :)

Also, OCmaster is right, for about $20 more you can get this: X2 3800+ $154

third on the dual core, it's a no brainer and a serious upgrade over single core.
