whats the max speed i can expect to get out of this chip? my mobo will go to 200mhz chip fsb(400mhz board). im currently at 2140.6 with 171fsb. i have a coolermaster h/s with 80 2200rpm fan norm temp 44-45 load max was 64. i was thinking about one of those SI-97A h/s's.

Your cpu isn't much of an issue. More than likely your ram and cooling will be your bottleneck. I don't know the theoretical limit, but with some insane cooling (did someone say dry ice), and the proper mobo and ram setup, it could handle 3+ gigahertz.

Depends on your chip and how much voltage you will run through it, I would expect something in range from 2.3Ghz to 2.5Ghz.
But 64 degrees is too high, I would suggest better HSF.
